1. One-liner

2. Trend signal — why now?
Three things lined up between October 2025 and January 2026 that didn’t exist before. First, the NFS-e Nacional unified standard went mandatory on January 1, 2026 — replacing 5,570 municipal portals with one federal API. Second, Brazil’s Reforma Tributária put CBS (federal) and IBS (state/municipal) test fields on every invoice from January 2026, with penalties starting August 2026 for missing or wrong fields and full collection from 2027. Third, the rollout has been a public mess. Contadores across Fortaleza, São Paulo, and Juiz de Fora are publicly complaining about the gov.br portal hanging, CNAE codes not enabled, ISS rates not registered, and timeouts. São Paulo refused to migrate and runs its own system in parallel. The Receita Federal told contributors to “go talk to your prefeitura” — i.e., good luck.
The market this hits is huge: 15.7M MEI, 6.8M PJ self-employed, and 28.9M total self-employed Brazilians per IBGE. Most of them issue invoices. Every one of them just got handed a more complex form than they had three months ago.

3. The opportunity
Two real gaps. First, the incumbents (Contabilizei R$195/mo, Agilize R$259/mo, Conta Azul, Qipu) sell a full accounting service with human contadores. That price tag works for a Lucro Presumido R$80K-R$4.8M-revenue PJ. It does not work for the solo dev billing R$8K/month who just wants a button that issues an invoice. Gov.br’s free emissor and Meu MEI Digital “work” but require navigating gov.br tier requirements, manually entering each client’s data, dealing with the SP-vs-national fork, and figuring out whether to fill the new CBS/IBS fields. They don’t help when the portal hangs at 11pm on the 5th.
Second, the Reforma Tributária transition between 2026 and 2033 creates seven years of “CBS and IBS in parallel with the old taxes” complexity that small PJs have no chance of understanding. Anexo III vs. Anexo V depending on Fator R, hybrid regime opt-in (Sept 1-30, 2026) for IBS/CBS outside the DAS, test rate of 0.9% CBS / 0.1% IBS on invoices starting now, real collection from 2027. A WhatsApp bot that says “your invoice has the right fields, you don’t owe anything yet, here’s your DAS for this month” is worth real money to anyone who isn’t an accountant.
The 10× UX move: replace the gov.br portal + spreadsheet + monthly contador call with one WhatsApp thread.
4. Target market
- Primary customer: Solo PJ on Simples Nacional (Anexo III/V) earning R$5K–R$30K/month. Subset of the 6.8M PJ self-employed: software developers, designers, consultants, marketing freelancers, lawyers, doctors, photographers, personal trainers with CNPJ. Issues 5–50 invoices/month. Lives on WhatsApp. Has accountant brother-in-law or pays R$200-500/month for a basic contador and still does the actual invoice issuing themselves.
- Secondary customer: MEI for services (limit R$81K/year revenue). Smaller wallet but ~15.7M of them; many graduating to Simples as they grow. Convert as they hit the MEI cap.
- Why they buy: “I forgot to issue notas for last week and now my client is asking. The portal hangs. I don’t know what to do with the new CBS/IBS fields. My contador takes 2 days to reply. I’m scared of being excluded from Simples for inadimplência.”
- Rough TAM reasoning: 6.8M PJ self-employed × even 2% conversion at R$49/mo × 12 = R$80M ARR ceiling. Add MEI at lower price tier and the LATAM expansion (Mexico CFDI, Colombia DIAN) and the ceiling goes up. Sub-$5M ARR target = ~10K paying users.
- Why now for them: January 1, 2026 broke the routine. The form changed. The portal is unstable. Their contador is overwhelmed. By August 2026, missing CBS/IBS fields = penalty. Switching costs to a tool that “just handles it” are the lowest they’ll ever be.
5. Product sketch (MVP)

6. AI angle — what’s load-bearing
Three places AI does actual work, not decoration.

Intent + entity extraction from messy text/voice. “Emite pra Joana 1500 reais design da logo” needs to become structured CFOP + CNAE + service description + payee CPF + value. LLM with a tight Brazilian Portuguese-tax-vocab prompt is the only thing that works at this latency and price. Without AI you build a form and the user goes back to the gov.br portal.

Form-field disambiguation. Each city has subtly different ISS rates per CNAE; the new NFS-e Nacional layout has CBS/IBS fields that depend on Anexo III vs V vs hybrid regime status. A small LLM with a rules layer routes the right values, asks targeted questions when ambiguous, and explains why in plain Portuguese.

Error recovery when the portal hangs. The gov.br emissor is publicly unstable. Bot retries, falls back to municipal API, queues the issuance, tells the user “we’ll send when the portal is back” — instead of the user staring at a 502.
Take the AI out and you’re back to a worse version of the gov.br app.
7. Localization angle (if any)
Brazil-first by definition. The whole product is the localization. Reforma Tributária, NFS-e Nacional, gov.br oAuth, WhatsApp as the dominant communication channel for autônomos, PIX as the only payment method that makes sense for a R$49/mo subscription.
Expansion plays after Brazil works:
- Mexico CFDI 4.0 — same shape (mandatory e-invoicing, SAT portal pain, complementos complexity, 2026 reform). Different tech stack but same product wedge.
- Colombia DIAN, Chile SII, Argentina AFIP — Latin America is the e-invoicing capital of the world; every country has an unstable government portal SMBs hate.
But ship Brazil first. LATAM expansion is a year-2 conversation.
8. Business model — path to $1M–$5M ARR
- Pricing: R$29/mês “MEI” plan (up to 10 notas/month, no DAS expansion); R$49/mês “PJ Solo” (unlimited notas + DAS + CBS/IBS validator); R$99/mês “PJ Pro” (multi-CNPJ, contador handoff, IRPF year-end summary). PIX recurring via stablebill or Iugu.
- ACV: R$49/mês × 12 = R$588 ≈ $110/year per blended customer.
- Rough math to R$5M ARR (≈ $1M): 8,500 paying × R$49/mo × 12 = R$5M. R$25M ARR ≈ $5M: 42,000 paying. Out of 6.8M PJ self-employed = 0.6% penetration. Plus MEI tier provides the front of the funnel.
- Expansion path: MEI graduates to PJ Solo as they exceed the R$81K/year cap. PJ Solo upgrades to Pro when adding employees or a second CNPJ. Annual upsell: IRPF (income tax) season add-on. LATAM expansion as v2 ARR multiplier.
9. Go-to-market wedge — first 100 customers

Affiliate channel via small contadores. There are ~570K accountants in Brazil. Many small contador offices (1-3 person operations) get hammered when their MEI/PJ-Solo clients call asking “como emito a nota?” — they’d rather not handle it. Offer 30% recurring affiliate commission. Recruit 50 small contadores from CRC state lists + LinkedIn. Math: each small contador has 30-100 PJ-Solo clients; even 5% conversion of one contador’s book = 2-5 customers. 50 contadores × 4 customers each = 200 paid. This is the single most important channel.

10. Build complexity — justification
Medium. The hard parts: (a) gov.br oAuth + NFS-e Nacional API integration (well-documented but fiddly federal endpoints), (b) the 50 holdout municipal NFS-e systems including São Paulo’s separate rails (already-mapped open-source libraries exist — TecnoSpeed, eNotas have built this; can either license or rewrite), (c) WhatsApp Business Cloud API + LLM intent layer (off-the-shelf), (d) PIX recurring billing (Iugu, Asaas, Stark Bank).
