2. Trend signal — why now?

Vietnam’s Law on E-commerce 122/2025/QH15 — passed Dec 10, 2025, effective July 1, 2026 — fundamentally changes the game for the country’s ~300K KOL/KOC livestream sellers and the ~50K active small/medium livestream merchants who rely on TikTok Shop, Shopee Live, and Facebook Live for survival.

What the law does, in plain Vietnamese:

  • Every livestream seller must be identity-verified via VNeID (the national digital ID) before going on air
  • Platforms (TikTok, Shopee, Facebook) are now required to store every livestream’s audio + video for at least 1 year (and other transaction records 3 years) and produce them on demand to inspectors
  • Livestreamers are personally liable for false claims about origin, function, quality, price, or warranty — penalties of VND 80–100M ($3,200–$4,000) per violation under the 2025 Advertising Law revisions, and up to 3 years’ criminal liability under Article 197 of the Criminal Code for repeat / serious cases
  • KOLs are required to refuse to host if the seller can’t produce origin/quality/declaration documents

This is not theoretical. In 2025, Vietnam’s market authority recorded 23,000 enforcement actions and VND 372 billion (~$14.3M) in fines. Two of the country’s biggest KOLs — Hằng Du Mục and Quang Linh Vlogs — were publicly fined in March 2025 over the “Kera vegetable candy” false-claim scandal. In November 2025, the CEO of VB Group was criminally charged after lab tests showed his “SPF 50” sunscreen tested below SPF 25 — over 1,600 buyers affected. The fear in seller groups is real and rising daily.

The platform side is also panicking. Under the new law, a platform that fails to terminate a non-compliant stream within 24 hours of notice shares liability. So Shopee, TikTok and Facebook will start asking sellers for product documentation before the stream goes live, not after.

Today’s livestream prep workflow — for everyone except the top-100 KOLs with full-time legal teams — is “wing it on Excel, paste claims into a Word doc, hope for the best.” That stops working July 1.

3. The opportunity

The regulator just dropped a compliance bomb on a 50,000-seller, $20.98B-by-2026 market that has zero serious tooling for what’s about to be required.

The incumbents:

  • AI livestream avatar tools — BocaLive ($58/mo), Aeyes Vietnam, AnyLive — are competing on the replace-the-human axis (compliance is not their wedge; in fact most of their users will need more compliance evidence, not less, because AI streamers must be labeled and their scripts logged)
  • Big SaaS HR/compliance suites (Acclime, VinaTPT) — service businesses, not built for solo sellers livestreaming from a bedroom
  • Sapo, Haravan, KiotViet — POS/inventory tools for SMB retail; livestream compliance is not in their roadmap
  • Platforms themselves — TikTok, Shopee, Facebook will store streams (they have to) but they will not prepare your defense file, vet your claims against your CFS / ATTP / declaration of conformity before you go live, or give you an evidence pack you control. Their archive serves them in audit, not you.

The wedge: a single-purpose, Vietnamese-first, livestream-only compliance copilot that does three things and nothing else — pre-stream prep, in-stream guardrail, post-stream evidence pack. Solo sellers can afford it ($20–40/mo). KOL agencies can scale it across their roster ($200–500/mo). Done well, it becomes the standard “compliance receipt” sellers attach to platform support tickets and inspectors’ requests.

4. Target market

  • Secondary customer: KOL/KOC management agencies (DPS Media, PointsVN, Aeyes, MediaLabs, ~200 in Vietnam) that hire freelance livestream hosts and book them onto seller campaigns. They need to scrub every booking before the host goes live or they share liability under the new law.
  • Why they buy: Verbatim seller chatter from trade press: “Speaking excessively or stating falsehoods during livestreams presents extremely large legal risks.” (Luật Nguyễn). “Livestream sellers cannot provide false or misleading information about product effectiveness, origin, quality, price, promotions, or warranty policies.” (Vietnam Plus, summarising the law).

6. AI angle — what’s load-bearing

Three places AI is the product, not decoration:

  1. Vietnamese livestream transcription at scale — a 2.5-hour Vietnamese live session, often with regional accents, slang, viewer chat, music in background. 2025 generation models (Whisper-Large v3 fine-tuned, MiniMax, VAIS) cleared the quality bar. Pre-2024, this was unusable.
  2. Claim-vs-document semantic checking — given a sentence the seller said (“kem này làm trắng da trong 7 ngày”) and the product’s declaration (“dưỡng ẩm da”), an LLM in Vietnamese flags the mismatch with citation back to the official document. This is exactly the work an inspector or platform reviewer would do — and it now costs cents.
  3. Forbidden-phrase taxonomy — instead of a static blacklist, a small fine-tuned classifier built from the publicly cited fine cases (Kera candy, SPF-50, “homemade”, “100% sạch”, “gia truyền”, “thần dược”) that grows as new cases are published. This is the moat that compounds.

Strip the AI out and the product collapses to a checklist app — useless against a 3-hour livestream.

7. Localization angle

This is a Vietnam-only product on purpose:

  • Vietnamese language from input to output
  • VNeID identity verification (national digital ID, not generic OAuth)

A generic global “livestream compliance” tool will lose to a Vietnamese team that knows the Cục Quản lý Dược recall list by heart.

9. Go-to-market wedge — first 100 customers

The law deadline is the engine. Run a 60-day “July 1 readiness” campaign in Vietnamese:
