2. Trend signal — why now?

On 1 January 2026, Vietnam abolished the presumptive (“khoán”) fixed-tax regime that 3.83 million household businesses (hộ kinh doanh) lived under for decades. Every one of them now has to self-declare actual revenue, keep records, issue e-invoices, and file a quarterly 01/CNKD return — work they have never done and mostly cannot do.

The pain is not hypothetical, it is screaming in the Vietnamese press right now:

  • VnExpress: “Hộ kinh doanh lúng túng trước ‘giờ G’ bỏ thuế khoán” — household businesses fumbling before the deadline.
  • VietnamNet headline: “Tự kê khai thuế từ 2026, hộ kinh doanh lo sai sót bị phạt tới 8 triệu đồng” — owners fear a filing error means a fine up to VND 8M.
  • A restaurant owner, quoted in VnExpress, “carefully checks every detail when entering data on her phone, fearing a wrong number could result in penalties of tens of millions.”
  • A grocery owner with “thousands of product codes, over half without input invoices” stuck on whether to declare truthfully (back-tax risk) or not (fraud risk).
  • The Tax Consultants Association president flags “retroactive tax collection, inventory valuation, and the complexity of e-invoice systems” as the live worries.

The General Department of Taxation’s own breakdown: ~883,000 household businesses earning VND 200M–3B are “the most affected by the transition.” A Viettel representative said plainly that “most household businesses lack financial and accounting knowledge, especially in tax declaration,” and that hiring staff or outside accountants is costly.

3. The opportunity

A whole-country regulatory cliff just created millions of forced, deadline-driven buyers with no skills to do the thing the law now requires.

The incumbents — MISA AMIS Kế toán HKD, Viettel, VNPT — are selling accounting software. Their UI is a ledger: “add a sales invoice, add a purchase invoice, add a receipt/payment document.” That is the right tool for the >1B VND tier and for the accountant who serves them. It is the wrong tool for a 58-year-old phở shop owner with a shoebox of thermal receipts and no concept of double-entry. MISA is building for the person who already thinks “I need accounting software.” The 883K micro-shopkeepers don’t think that. They think: “I’m scared of the tax office and I can’t afford a kế toán.”

KhaiReady attacks that gap. It is not a ledger. It is a filing copilot: the shopkeeper forwards their e-invoices, snaps photos of paper receipts, or talks (“today I bought 3 boxes of beer for 1.2 million”), and KhaiReady assembles the quarter into a declaration that is ready to submit — and, critically, tells them where the holes are (goods without input invoices, revenue that doesn’t reconcile) before the tax office finds them. The product sells fear-relief, not accounting.

4. Target market

  • Primary customer: Owner-operators of Vietnamese household businesses (hộ kinh doanh) — grocery shops, restaurants, salons, small retail, repair shops — in the VND 200M–3B annual revenue band, 1–4 staff, owner typically 35–60, smartphone-literate but not accounting-literate. Concentrated in HCMC, Hanoi, Da Nang and provincial towns.
  • Why they buy: “I have to file a 01/CNKD every quarter now or I get fined up to VND 8M, the tax office can claw back years, I don’t know how to do it, and a real accountant costs more than the tax.” KhaiReady is the cheap, in-pocket alternative that makes the fear go away.
  • Rough TAM reasoning: 883K in the most-affected band alone. Even at a 2–3% paid penetration and VND 1.5–2M/year, that’s a VND 30–50B ($1.2–2M) revenue pool from this band only; the broader 5M-household universe is far larger as the threshold debate settles.
  • Why now for them: The fixed-tax method is gone as of this quarter. The first real self-declared filings are due in 2026. This is a “this week” purchase driven by a legal deadline, not a nice-to-have.

5. Product sketch (MVP)

6. AI angle — what’s load-bearing

Remove the AI and the product is just another accounting-form — which is exactly the thing these customers cannot use. The AI is the product:

  • Vietnamese OCR + document understanding to turn thermal receipts and handwritten notes into structured line items.
  • Voice-to-record so a non-typing owner can dictate the day’s purchases.
  • Reconciliation + anomaly detection to find the missing-invoice / mismatched-revenue gaps that owners explicitly fear and incumbents make the human find.
  • Natural-language tax explainer that translates the 01/CNKD into “here’s what you owe and why,” in the dialect of a shopkeeper, not an accountant.

The whole thesis is collapsing a task that today needs an accountant’s brain into a phone the owner already knows how to point and talk at.

7. Localization angle

This is Vietnam-first by definition — it exists because of one country’s 2026 regulation. The localization is the moat-substitute: native Vietnamese OCR/voice, the exact 01/CNKD form logic, the specific revenue thresholds (200M / 1B / 3B VND), integration with the three local e-invoice providers, Zalo as the notification rail, and pricing in VND at a “less than one accountant visit” point. A generic global bookkeeping app cannot touch this without rebuilding all of it. The same playbook is portable later to other ASEAN markets forcing micro-businesses onto e-invoicing (Vietnam’s neighbours are moving the same direction), but v1 is single-country on purpose.
