1. One-liner
Turns a household shop’s undocumented cash purchases into a tax-defensible expense record before Vietnam’s first post-lump-sum filings hit.
2. Trend signal — why now?
On 4 May 2025 the Politburo issued Resolution 68-NQ/TW ordering the abolition of the lump-sum tax (thuế khoán) for household businesses no later than 2026. It is done: from 1 January 2026 Vietnam’s ~3.83 million household businesses no longer pay a negotiated flat tax — they declare and pay VAT + PIT on actual revenue, with quarterly declarations and basic accounting required for the VND 200M–3B band (~883,000 households most affected). Decree 70/2025 already forced connected POS e-invoicing on the >VND 1B tier from June 2025.
The revenue side has a land-grab on it: MISA announced free POS/e-invoice/filing software for 2 million households; SHB and others are bundling support. But declaring revenue is the easy half. The painful, unsolved half is the expense side — household shops buy stock for cash at wet markets, from farmers, and from wholesalers who refuse to issue invoices (worried about their own tax exposure). Under lump-sum tax this never mattered. Now, with no expense documentation, a shop is effectively taxed near-gross. Vietnamese law does allow a substitute “purchase list” (bảng kê) for non-invoiced agricultural/individual purchases — but it has strict required fields and almost no owner knows how to build one defensibly.

3. The opportunity
A regulation just converted ~883,000 cash-run micro-businesses from “pay a flat number, keep no books” to “declare actual VAT + PIT quarterly, with documentation.” The incumbents (MISA, POS365, bank bundles) are racing for the revenue-and-e-invoice side because it’s clean, structured data and it’s where the government mandate is loudest. They are giving it away free.
Nobody is solving the side that actually determines the tax bill: reconstructing a defensible expense record from undocumented cash buys. A shop owner who declares VND 2B revenue and can only document VND 300M of costs pays tax as if they had a 85% margin. The legal escape hatch (the bảng kê purchase list, deemed-expense rules, the VND 5M non-cash payment threshold) exists but is buried in circulars and unusable by a 55-year-old market trader with poor digital skills.
10× better than the status quo (status quo = “pay an accountant 500K–2M/mo or guess and over-pay”): a phone app where the owner snaps a photo or speaks the purchase (“bought 50kg rice, 1.2 triệu, from chị Lan at Bình Tây market”), and the app produces the correctly-formatted purchase list, expense ledger, and a quarter-end declaration draft they can hand to the tax office or their part-time accountant. It doesn’t compete with MISA’s free POS — it sits next to it and fills the gap MISA left.
4. Target market
- Primary customer: Owner-operators of Vietnamese household businesses (hộ kinh doanh) with VND 500M–3B annual revenue — neighbourhood grocers, food stalls, building-material/hardware shops, wet-market wholesalers — who buy most stock for cash and have no in-house accountant.
- Why they buy: “I never kept books. Now I have to declare every quarter and prove what I spent, but my suppliers won’t give me invoices. I’ll be taxed like I made pure profit.” It is a money-on-the-table, deadline-driven pain felt at every quarter-end starting Q1 2026.

6. AI angle — what’s load-bearing
The whole product is AI doing the work a paralegal-bookkeeper would do. Inputs are deliberately messy: a blurry photo of a torn handwritten slip, a voice note in regional Vietnamese with market slang and dong amounts spoken as “1 phẩy 2” (1.2 million). Vision + Vietnamese ASR + an LLM that knows the bảng kê field schema and the deemed-expense rules turns that into a structured, compliant line item, and reasons about which substitution rule applies (agricultural producer vs. individual reseller vs. >VND 5M cash flag). Remove the AI and you’re back to a manual data-entry form no market trader will ever fill in — which is exactly why MISA’s existing tools don’t reach this user. The AI is the product.
7. Localization angle
This is the localization play — it cannot exist as a generic global tool. It encodes: Vietnamese language + regional dialect ASR, the specific bảng kê 01/TNDN-style schema, Circular 88/2021 and the 2026 lump-sum-abolition rules, the VND 5M non-cash threshold, VND 200M/500M/3B band logic, and integration with the export formats of MISA/POS365 which now blanket the market. Pricing must be VND-native: a ₫99,000/mo tool works where a $49/mo tool is absurd. Distribution is local too — ward tax offices, hội kinh doanh associations, and the “60 peak days” government support drive are channels a foreign SaaS can’t touch.

- Accounting-service firms first (B2B2C): there are thousands of small kế toán dịch vụ shops drowning in newly-mandated household clients and an accountant shortage. Sign 5–10 firms; each pushes the app to 30–100 of their cash-heavy clients as the data-collection front end. This buys hundreds of end users fast and solves cold-start.
- Ward-level association walk-ins: the government’s “60 peak days” support campaign and local hội kinh doanh meetings physically gather exactly these owners. Run live capture demos (“photograph that slip — done”) at 10 ward sessions in HCMC District 6 / Bình Tây market belt.
- Wet-market wholesaler seeding: target one large market (Bình Tây / Đồng Xuân), sign the 20 biggest stall operators with white-glove onboarding; they are reference customers their entire buyer network watches.
