2. Trend signal — why now?

The UK’s Making Tax Digital for Income Tax Self Assessment (MTD ITSA) regime went live on 6 April 2026 for sole traders and landlords with qualifying gross income above £50,000. The first quarterly update covers 6 April–5 July 2026 and must be filed through HMRC-recognised software by 7 August 2026. The threshold drops to £30,000 in April 2027 and £20,000 in April 2028, dragging hundreds of thousands more sole traders into the same regime over 24 months.

This is a structural shock for one specific tribe: CIS subcontractors. A research note from IPSE / Sage at Accountex North 2025 found that only ~30% of sole traders have a clear understanding of MTD; a third still keep records on pen and paper, and only one in ten use cloud-based accounting software. CIS subbies — plumbers, electricians, plasterers, scaffolders, groundworkers — skew hardest into the pen-and-paper end of that distribution.

A second pain stack is already monetised: the CIS rebate industry. The average annual CIS subcontractor rebate is £2,600 (Tax2u), with most workers receiving £1,500–£3,000 once expenses and overpaid 20% deductions are reclaimed. Tax2u, Brian Alfred (now Baa Accounting), RIFT and similar firms have been profitable for a decade taking £200–£400 cuts on these rebates. They are seasonal — they show up in March, file the annual return, and disappear. They are not built to do quarterly MTD updates.

A third signal is technical readiness. Whisper, GPT-4o-class vision, and UK Open Banking (TrueLayer, GoCardless Bank Account Data, Tink) make it trivially cheap to: (a) transcribe a voicemail “spent eighty quid at Screwfix on Tuesday”, (b) OCR a crumpled receipt, (c) auto-pull bank transactions, (d) parse a PDF CIS deduction statement, and (e) post a quarterly MTD ITSA update through HMRC’s developer APIs. None of that was reliable two years ago.

3. The opportunity

Two pains, one customer, no good tool:

Pain A — Quarterly MTD ITSA. From 7 August 2026, a CIS subbie earning £55K who used to hand their accountant a Tesco bag in January now has to file four quarterly digital returns plus a final declaration. Their accountant is either (a) raising fees 30–60% to absorb the work, or (b) telling them to “go get QuickBooks.” QuickBooks Sole Trader (£10/mo) and Xero Ignite (£16/mo) are the cheap MTD options, but they are receipt-first desktop products — the user has to type, categorise, reconcile. A subbie covered in cement at 6pm will not do that.

Pain B — CIS deduction reconciliation. The subbie’s gross invoice is paid net of 20% (or 30% if unregistered). The contractor is supposed to send a monthly CIS statement showing the deduction. Most don’t, or send a PDF screenshot via WhatsApp. The subbie has to chase 3–8 contractors every month, collate statements, and reconcile them against bank deposits. At year-end, this is the only evidence HMRC will accept to issue a refund — and refunds average £2,600. Missing a statement = missing the refund.

The wedge is: collapse both pains into one WhatsApp number. The product is the accountant the subbie would have hired, except it costs £14.99/mo, runs at 6pm in the van, and never raises fees in year two.

Incumbents fail this customer in specific ways:

  • QuickBooks/Xero/FreeAgent/Sage: built for cleaner SMEs with bookkeepers. CIS modules exist but assume the user does the data entry. Mobile apps are receipt-photo + categorise, not voice-first.
  • Tradify, Powered Now, Kletta: job management / quoting / invoicing. None file MTD ITSA quarterly returns. None reconcile CIS statements end-to-end.
  • Brian Alfred (Baa), Tax2u, RIFT: human-services firms. Seasonal annual returns + rebate cut. Not on HMRC’s recognised MTD software list. No quarterly engine.
  • Dext Solo, SnapReceipt, Receiptor: receipt-capture wedges. Strong for receipt OCR but stop at the data hand-off and don’t reconcile CIS.

VanLedger lives in the gap: HMRC-recognised quarterly filer + CIS reconciler + voice-first capture, priced for a wallet that’s currently choosing between £400/yr accountant uplift and shoeboxes.

4. Target market

  • Primary customer: UK CIS-registered subcontractors operating as sole traders (later: single-member limited companies), turnover £50K–£250K, 0–1 employees, age 28–55, typical trades: electrician, plumber, plasterer, scaffolder, dryliner, groundworker, roofer, kitchen/bathroom fitter. Concentrated in the London commuter belt, West Midlands, Manchester/Leeds, South Wales, Scottish central belt.
  • Why they buy: “I used to pay my accountant £450 a year and dump a bag of receipts on her desk in January. Now she wants £900 because of MTD. I just want someone to deal with it.” Plus the unspoken fear: “I’m owed £2,000 from CIS deductions and I haven’t kept the statements.”
  • Rough TAM reasoning: ONS / HMRC’s most recent published figures put CIS-registered subcontractors at roughly 1.0–1.2 million active individuals across the UK construction sector. HMRC has indicated that ~250K–400K of those clear the £50K MTD threshold from April 2026. The £30K threshold (April 2027) brings that closer to 700K. The £20K threshold (April 2028) sweeps in nearly all of them.
  • Why now for them: The 7 August 2026 first-quarter deadline is the forcing function. HMRC’s soft-landing on late quarterly updates ends 5 April 2027, after which penalty points start accruing.

5. Product sketch (MVP)

  • WhatsApp Business number as the primary interface. Voice notes (“spent forty quid on copper at Wickes”), receipt photos, contractor CIS PDF forwards — all flow through one chat.
  • Voice-to-expense engine. Whisper-class transcription + LLM extraction → categorised expense entry with VAT split, business-use percentage prompt, and a confidence score that asks back when unsure.
  • CIS statement reconciler. Forward the PDF / image of a monthly CIS deduction statement. The product extracts contractor UTR, gross pay, deduction, materials split, and matches it to a bank deposit pulled via Open Banking. Outputs a running “CIS deductions to date” tally and flags missing statements per contractor with a one-tap “Chase contractor” template.
  • Open Banking income feed. TrueLayer / GoCardless Bank Account Data pulls business account transactions automatically. The customer just confirms which counterparty is a CIS contractor.
  • Quarterly MTD ITSA submission. Auto-builds the £-amount summary for the period, walks the user through a one-screen review on Sunday evening, files via HMRC’s MTD for ITSA API. Sends a one-line confirmation.
  • End-of-year final declaration + refund forecast. Year-round CIS deductions tally → predicted refund well before the 31 January deadline.
  • Accountant export. For subbies who keep their accountant, a one-click HMRC-ready package (PDF + CSV) the accountant can sign off in 20 minutes instead of 3 hours.
  • English-first, dyslexia-friendly UI. Big text, voice-everywhere, no jargon. Spanish/Portuguese/Polish later (London/Manchester construction labour pools).

6. AI angle — what’s load-bearing

AI does three load-bearing jobs, not one. Remove any and the product collapses into a worse version of QuickBooks.

  1. Voice + photo → ledger. A subbie will not type. Whisper transcribes “eighty quid at Screwfix, mostly conduit, did a bit of personal stuff” → an expense line with vendor, amount, category, VAT split, business-use percentage, and a follow-up question for the personal portion. This is not a sticker — it is the only interface the customer will tolerate.
  2. PDF CIS statement parsing. Contractors send statements in 30 different layouts — letterhead PDFs, screenshots, JPEGs of paper printouts. Vision-LLM extraction of contractor UTR, period, gross, deduction, materials handles the variance that templated OCR can’t.
  3. Quarterly summary generation + sanity check. At quarter-end, an LLM cross-checks expense categorisation against HMRC’s allowable rules for construction trades, flags entries likely to fail an enquiry (e.g. personal phone bills claimed at 100%), and produces the £-amount summary that posts via MTD API.

Without AI, this is QuickBooks. With AI, it is the accountant in the subbie’s pocket.

7. Localization angle

UK-only by design. The whole opportunity is the intersection of (a) the MTD ITSA mandate, (b) the CIS scheme, and (c) HMRC’s developer API. Direct expansion into RoI (different scheme), Australia (BAS), or Canada is a different product. Don’t dilute. Capture UK first, then consider Australia’s BAS + ATO STP regime as the closest analogue.

Sub-localizations inside the UK that matter:

  • Working-class English-as-second-language pockets (London Polish/Portuguese/Romanian, Manchester Eastern European, Bradford South Asian, Glasgow Eastern European). Multilingual voice in v2 doubles addressable market in major cities.
  • Scottish CIS subcontractors hit by the same MTD ITSA rules — no Scotland-specific carve-out, but a Scotland-tuned marketing motion (Facebook ads against Scottish trade-union pages, partnerships with local builders’ merchants) is worth a separate channel test.

9. Go-to-market wedge — first 100 customers

A four-channel mix, weighted to channels where panicked CIS subbies actually congregate in May–July 2026:

  1. Builders’ merchant counter partnerships. Travis Perkins, Selco, Jewson, Howdens, Toolstation, Screwfix — counter-staff hand out a one-page flyer + QR with every CIS-registered trade account purchase. Target 20 branches in Greater London, 10 in Manchester. Even a 0.5% conversion at 200 daily CIS customers per branch = ~150 signups/month at zero CAC.   • Whisper / GPT-4o-mini for voice + vision (commodity)
  • TrueLayer or GoCardless Bank Account Data for Open Banking (UK is the most mature OB market in the world)

The real work is in two places. First, HMRC software recognition: HMRC’s MTD ITSA recognition is a documented testing process (the developer hub publishes the criteria and sandbox endpoints), but it takes ~6–10 weeks of API testing plus a fraud-prevention-headers audit before you’re on the recognised list. Second, CIS statement variance: building a vision-LLM extractor robust to 30+ contractor PDF layouts is fiddly but tractable inside 4–6 weeks with a labelled sample of ~200 statements.

Solo founder + 1 contractor designer = 12–14 weeks to a closed beta, 16–18 weeks to public launch with HMRC recognition. Within the 6-month bar.

  • Day 1–2: Build a Companies House × trade directory list of 200 CIS-registered sole traders in Greater London with turnover £50K–£150K. Draft a 60-second voicemail script and a 2-message WhatsApp flow that pitches the product in plain English (“We chase your CIS statements and file your quarterly returns for £14.99/mo so you don’t have to pay your accountant double this year”).
  • Day 3–4: Run 50 cold WhatsApps and 50 cold calls. Capture every objection verbatim. Offer a £30/year founding-member rate to the first 30 who say yes — collect a Stripe pre-authorisation, not a payment, so it’s reversible.
  • Day 5: Decide go / no-go on a single threshold: ≥10 of the 100 cold contacts gave a Stripe pre-auth (10% conversion on cold outbound). That maps to a credible 1% Facebook-ad funnel. If fewer than 10 convert, the wedge is wrong and the next iteration tests a different price point or a different trade-vertical-slice (Ltd-co subbies, not sole traders).
