2. Trend signal — why now?

UAE corporate tax is brand new and just hit its first real enforcement wall. There was no corporate income tax in the UAE before June 2023. The Federal Tax Authority spent 2024-2025 in “grace period” mode; multiple sources confirm enforcement matured into a hard-line phase in April 2026. The first real filing deadline for calendar-year taxpayers — 31 December 2024 year-end — falls 30 September 2026, three months out.

The trap that makes this a product and not just “hire an accountant”:

  • Everyone must register, even at 0%. Every taxable person must obtain a Corporate Tax TRN regardless of whether they owe a dirham. Late registration = a flat AED 10,000 penalty (Cabinet Decision No. 10 of 2024).
  • Small Business Relief is not automatic. Freelancers/sole-props under AED 3M revenue can elect 0% tax via Small Business Relief — but only if they explicitly elect it inside a filed return. Miss the election, miss the relief. SBR expires for periods ending after 31 Dec 2026, so this is a now-or-never window.
  • Books are now legally mandatory. All licensed freelancers must keep accounting records (accrual, or cash-basis only if under AED 3M), prepare yearly financial statements per approved standards, and retain records 5 years. Most have none.

Existing options split badly: AED 249-499 self-serve filing portals (Fastlane, ClearTax AE) assume you arrive with clean numbers, and AED 2,000-4,000/month accounting firms are too expensive for a freelancer billing AED 1.2M on thin margin. Nobody cheaply turns a shoebox of bank statements into a filing-ready return for a solo.

A whole country of micro-businesses just got a tax regime they’ve never had, a mandatory bookkeeping obligation they’ve never met, and a one-time relief election they don’t know they have to claim. The incumbents serve the two ends — cheap filing portals for people who already have books, and monthly accounting firms for people who can afford AED 30K+/year. The freelancer in the middle — license holder, AED 0.4M–3M revenue, no in-house finance, terrified of the AED 10K penalty — is unserved.

ZeroFile takes the one input the freelancer actually has (bank statements + a folder of invoices) and produces the two outputs the FTA actually wants (a clean set of financial statements + a return with Small Business Relief correctly elected). The AI does the part a human bookkeeper charges AED 2,000/month for — reading statements, categorizing transactions, reconciling to invoices — and collapses it into a guided, hours-not-weeks flow. We are not competing with the AED 249 filing button; we are the thing that gets you ready to press it, then presses it.

4. Target market

  • Primary customer: UAE freelancers and sole-establishment owners (free-zone or mainland licenses) with AED 400K–3M annual revenue, no in-house accountant, filing corporate tax for the first time. Think solo consultants, agency-of-one marketers, IT contractors, designers, e-commerce sellers.
  • Why they buy: “I have a license, I have bank statements, I have no idea what ‘financial statements’ means, and I just learned I get fined AED 10,000 if I’m late and lose the 0% relief if I file it wrong.” It’s fear plus genuine inability, on a hard deadline.
  • Rough TAM reasoning: Single free zones hold 20,000–40,000 companies each (RAKEZ ~40K, Ajman FZ ~25K), and there are dozens of free zones plus mainland. A conservative addressable slice of micro/freelancer entities in the AED 0.4–3M band is in the low-to-mid hundreds of thousands. We need a few thousand to hit $1M+ ARR.
  • Why now for them: First filing deadline 30 Sept 2026; enforcement just turned real; SBR election is a closing one-time window. This is the single most acute compliance moment they will face this decade.

5. Product sketch (MVP)

  • Connect or upload bank statements (PDF/CSV from ENBD, Mashreq, RAK, WIO, etc.); AI parses every line.

6. AI angle — what’s load-bearing

Remove the AI and this is a spreadsheet template plus a PDF — i.e. the AED 249 portal that already exists. The AI is the bookkeeper: parsing messy multi-bank statements, OCR-reading mixed-language invoices, reconciling them, and categorizing transactions into tax-correct buckets is exactly the AED 2,000/month manual labor we’re collapsing. Layer two is a rules engine the model drives — license type, revenue, and period mapped to the specific obligation (register? SBR-eligible? cash vs. accrual basis? deadline?). The product only exists because inference got cheap enough to do per-freelancer bookkeeping at a price a freelancer will pay.

7. Localization angle (if any)

This is localization as the entire product. It only works because it encodes UAE-specific rules: the AED 10,000 flat penalty, the AED 1M natural-person registration trigger, the AED 3M SBR ceiling, the explicit-election requirement, cash-vs-accrual thresholds, free-zone vs. mainland nuances, Gregorian-year periods, and the EmaraTax filing flow. A generic global “AI accountant” cannot answer “do I need to register and how do I claim my 0%.” Arabic + English UI and AED-native pricing are table stakes. A global product cannot win here; a UAE-shaped one can.

8. Business model — path to $1M–$5M ARR

  • Pricing: AED 199/mo ($54) subscription for continuous bookkeeping + filing, OR a AED 899 ($245) one-time “get me filed this year” package for the deadline crowd. Add-on: AED 500–800 for human tax-agent review & submission (we keep a margin over the partner agent).
  • ACV: Blend AED 1,500/yr ($410) across one-off and subscription customers.
  • Rough math to $1M ARR: ~$1M ÷ $410 ≈ 2,450 paying freelancers. Against a base of hundreds of thousands of micro-entities all hitting the same deadline, that’s a low-single-digit-percent capture.
  • Rough math to $5M ARR: ~12,000 customers, OR the same base converting more to the AED 199/mo recurring tier post-deadline plus the agent-review add-on. Needs the one-off deadline buyers to retain into annual bookkeeping — plausible because the obligation is annual and recurring.
