2. Trend signal — why now?

Nigeria’s tax authority (NRS, formerly FIRS) is forcing the entire VAT-registered economy onto a structured e-invoicing rail — the Merchant-Buyer Solution (MBS). Large taxpayers went live in 2025, medium taxpayers go-live July 1, 2026, and small taxpayers (turnover below ₦1B, above the ₦25–50M VAT threshold) have a hard go-live of July 1, 2027. Non-compliance is not a slap on the wrist: ₦200,000 penalty + 100% of tax due + interest at the CBN MPR, per the National Regulatory Guideline for Electronic Invoicing 2025.

The technical bar is brutal for a corner-shop owner: invoices must be UBL 3.0 XML, 55 required data fields, ECDSA digital signatures, OAuth 2.0, transmitted through a NITDA-accredited Access Point Provider (APP). Meanwhile the actual small business “system” in Nigeria is, per local reporting, sales tracked in phone notes and expenses in WhatsApp chats with suppliers. The gap between “55-field signed UBL XML” and “I texted my customer the total” is the entire opportunity.

This is India’s GST e-invoice story replayed seven years later, with the deadline gun already drawn. India’s ASP/GSP model produced Vyapar (1.5 crore businesses) and Tally’s e-invoice boom. Nigeria’s version of that wave starts now.

3. The opportunity

The accredited APPs and system integrators chasing this market — Duplo, Pillarcraft, SAP, Comarch, Pagero — are building for the people who can sign a procurement contract: large enterprises and mid-market firms with ERPs and finance teams. Duplo is explicitly a “financial operating system” bolting e-invoicing onto payments and treasury. None of them are building for the ₦5M/month building-materials trader in Aba who runs the business out of a WhatsApp thread and a Tecno phone.

The incumbent failure isn’t a feature gap — it’s an audience mismatch. An ERP connector is useless to someone with no ERP. A 55-field web form is unusable to someone who has never filled a structured form. The 10× play is collapse the entire compliance act into one act the trader already does: send a message describing the sale. AI extracts buyer, items, quantities, VAT; we infer/complete the 55 fields, sign, transmit through an accredited APP, return the validated invoice with its IRN and QR back into the same WhatsApp thread. The trader never sees the word “UBL.”

  • Why they buy: Not because they want software. Because July 1, 2027 is a deadline with a ₦200K + 100%-of-tax gun attached, their B2B buyers (who are compliant) will start demanding valid e-invoices to claim input VAT, and they have no idea what UBL or an APP is. Compliance fear + buyer pressure, not productivity.
  • Rough TAM reasoning: Nigeria has well over a million VAT-registered entities and millions more informally trading; local sources cite 40M+ Nigerian businesses overall. The serviceable slice — VAT-registered small taxpayers with B2B sales that must file by 2027 — is conservatively several hundred thousand. Capturing 5,000 is a strong business; the ceiling is far higher.
  • Why now for them: The medium-taxpayer go-live (July 2026) means their suppliers and customers are getting compliant first and will push the requirement down the chain through 2026–27. The deadline is dated, public, and penalty-backed.

6. AI angle — what’s load-bearing

AI is the product, not a garnish. The core technical act — turning “I texted my customer the total” into a 55-field, validly structured, signable UBL document — is an extraction-and-inference problem. Vision OCR on photographed invoices, LLM parsing of free-form multilingual/pidgin text and voice notes, entity normalization (matching “Dangote cement” → a consistent item record), and field inference (deriving the codes and structural fields the user never supplies). Remove the AI and you’re left with a 55-field form the target customer demonstrably will not fill — i.e., exactly the incumbent product that doesn’t serve this segment. The AI is what makes a one-message workflow possible at all.

This is the localization play — it is not portable to a generic global product. Wedges:
