MateriaListo — materiality-file engine for Mexican accounting firms

2. Trend signal — why now?
Mexico’s 2026 tax reform (published November 2025, in force January 2026) put a stopwatch on every Mexican business. New Article 49 Bis of the Federal Tax Code lets the SAT presume a CFDI is false and gives the taxpayer only 5 business days to prove the operation was real — and the SAT can suspend your Digital Seal Certificate (CSD) during the investigation, which means you literally cannot issue invoices while it’s frozen. No CSD, no sales, no payroll stamping. The whole “abbreviated” procedure resolves in 24 business days.
This stacks on top of the older Article 69-B (operations presumed non-existent) and the EFOS blacklist. The reform’s nastiest twist, per practitioners: “El riesgo más grave en 2026 no es el error propio, sino el error del tercero. Una empresa sana puede ser clausurada virtualmente por la negligencia de un proveedor.” A clean company gets virtually shut down because a supplier landed on the EFOS blacklist, retroactively voiding every deduction taken against that supplier’s invoices.
The official line from tax counsel is blunt: the defense file “debe integrarse en el momento que se llevan a cabo las operaciones, no cuando llegue la notificación” — you must build it as the transaction happens, not when SAT knocks. That’s a per-transaction documentation burden no PyME or despacho is staffed for.

3. The opportunity
The incumbents in this space fall into two camps, both weak:
- Generic accounting/e-invoicing platforms (Contalink, Alegra, CONTPAQi, Facturama). They issue and store CFDIs. They do not assemble a materiality defense file or watch your suppliers’ EFOS status. Compliance with the reality of the operation is left to the human.
- “Materialidad” point tools (Audita CFDI and similar). These are glorified folders: you manually upload PDFs, ZIPs, contracts and photos and link them to a CFDI. The work — deciding what evidence each invoice needs, chasing it down, noticing the gaps — is still 100% manual, done by an overworked despacho.
The 10× wedge: MateriaListo treats the defense file as an AI job, not a filing job. It ingests the client’s CFDI feed (XMLs are already digital and SAT-standard), and for each invoice it (a) determines what materiality evidence that type of operation requires, (b) auto-matches whatever the firm already has — bank payments, contracts, emails, delivery proofs — to the right CFDI, (c) produces a ranked gap list (“invoice #4471 to Proveedor X: no contract, no delivery proof, supplier flagged on EFOS — fix within 72h”), and (d) on an audit, exports a court-ready dossier in the SAT’s expected structure in minutes, not the 5 business days you don’t have.
4. Target market
- Primary customer: Independent accounting firms (despachos contables) in Mexico managing 30–300 client RFCs — the 2–8 person shops that are the front line of SAT compliance for PyMEs. Secondary: mid-size PyMEs (50–250 employees) with an in-house contador who buy direct.
- Why they buy: In their words, “si el SAT toca a tu puerta, tienes solo 5 días hábiles para probar que las operaciones realmente existieron.” A despacho with 100 clients can’t manually maintain a real-time evidence file for every CFDI across every client. One CSD suspension on a client is a fire drill that can lose them the account. They will pay to never be caught flat-footed.
- Rough TAM reasoning: Mexico has millions of active business RFCs and tens of thousands of despachos. Even capturing a few thousand despachos at a few hundred dollars/month each is a multi-million ARR business well inside the $1–5M target.
- Why now for them: The 5-day clock and CSD-suspension-during-investigation are brand new for 2026. The pain went from “good hygiene” to “existential, on a stopwatch” in January.

6. AI angle — what’s load-bearing
Remove the AI and you’re back to Audita CFDI — a manual folder. The AI does three things a human despacho can’t do at scale: (1) classify each operation and infer the specific evidence the SAT will expect for it (a freight invoice needs a carta porte + delivery proof; a consulting invoice needs deliverables + correspondence — different defense files); (2) match unstructured evidence (a scanned contract, a WhatsApp delivery photo, a bank line item) to the correct CFDI across thousands of documents; (3) detect gaps and rank risk so a 4-person firm spends its scarce hours on the invoices most likely to trigger or fail a SAT review. That triage is the product. Without it, nobody can keep 100 clients’ files audit-ready in real time.
7. Localization angle
This is a Mexico-first play by definition — it lives inside the CFDI/SAT/EFOS regime. Spanish-first UI, built around SAT document standards (CFDI 4.0 XML, complemento Carta Porte, EFOS gazette format). Pricing in MXN at despacho-friendly tiers (the market already pays ~$990 MXN/mo for “unlimited RFC” accounting plans). The same engine ports later to other Latin-American real-time-CTC regimes (Brazil, Chile, Colombia all run mandatory e-invoicing), but Mexico’s 2026 5-day rule is the sharpest wedge in the region right now.
8. Business model — path to $1M–$5M ARR
