ChartGuard — GFE audit sentinel for independent med spas
1. One-liner
Scans a med spa’s patient records and flags every treatment missing a defensible Good Faith Exam before the board does.
2. Trend signal — why now?
2026 is, by the industry’s own framing, “one of the most heavily regulated years in aesthetic medicine.” The thing being enforced is the Good Faith Exam (GFE) — the mandatory provider evaluation that must precede any med-spa treatment that penetrates skin, uses prescription product, or uses a medical device (i.e. almost everything a med spa sells: Botox, filler, laser, IV, GLP-1).
Three things changed in the last 12 months:

Enforcement got real and physical. A joint NYC Council / NY State Department of Health investigation inspected 15 medical spas across the five boroughs (June–Sept 2024, published Dec 11 2025) and found violations at 100% of locations: 100% performed medical procedures without proper licensing, 73% lacked medical oversight during procedures, 26% used unlicensed/expired-credential staff. Four businesses already lost their licenses; proceedings against 11 others are ongoing. State medical/nursing boards in CA, NY, TX, FL, OH, and AR all took disciplinary action against aesthetic providers in 2025.

The documentation bar moved. “Asynchronous text-only clearances are being systematically flagged in 2026 audits.” Auditors now want a synchronous (video/in-person) GFE tethered to a specific provider’s NPI before the first treatment, plus a real SOAP note — not a checkbox waiver. The single most common audit finding is a missing treatment plan. The clinical care can be perfect and the clinic still gets disciplined purely on documentation.

Multimodal AI got cheap enough to read a clinic’s messy mix of SOAP notes, intake PDFs, photographed paper charts, and EMR exports and decide, per patient per procedure, whether a compliant GFE chain actually exists — the slow, expert, paralegal-grade review task that nobody does proactively because it’s tedious and frightening.

3. The opportunity
The existing GFE vendors — Qualiphy (pay-per-exam) and Spakinect (membership) — are well-funded and own the performance of the exam: on-demand telehealth providers do the GFE and log it. That’s a good business and I’m not going to beat them at it.
But their incentive is to sell exams, not to tell a clinic where its records are broken. Three structural gaps they don’t (and won’t) close:
- The DIY majority. Most of the 90% independent clinics run GFEs through their own contracted medical director under standing orders, not through a telehealth vendor. Those clinics have zero system proving each treatment was preceded by a compliant, NPI-tethered exam. Their “system” is a folder and a hope.
- The cross-system chain. The audit deliverable isn’t “we have GFEs.” It’s: for this specific patient and this specific procedure on this specific date, a licensed provider performed a synchronous exam first, wrote a real SOAP note, and signed it. That chain lives across booking software + EMR + the GFE vendor’s portal + paper. Nobody reconciles it until the board is at the door.
- The exam vendor won’t audit itself. A product whose whole job is “here are your 340 undocumented treatments” is one the per-exam vendors are structurally disincentivized to ship — it surfaces holes in their own coverage.
ChartGuard is the audit-readiness layer that sits on top of whatever method the clinic uses. It ingests their records, reconstructs the GFE-to-treatment chain, flags every gap, and on demand produces the audit-ready evidence packet the board asks for. It complements Qualiphy/Spakinect rather than competing — and covers the much larger DIY segment they don’t touch.
4. Target market
- Primary customer: Owner/operator of an independent med spa or small aesthetic group (1–4 locations). Often a non-physician entrepreneur, an RN/NP, or an MD/DO acting as medical director — the person whose license or business license is personally on the line in an audit.
- Why they buy: “I have no idea if my charts would survive a board audit, and if they don’t I lose my medical director, my license, or my business.” It’s low-frequency, catastrophic-severity dread — the exact emotional profile that sells compliance software. Penalties run $5,000–$50,000 per violation plus suspension/closure; the NYC sweep proves it’s no longer hypothetical.
- Rough TAM reasoning: ~12,000 US med-spa locations by 2027, 90% independent ≈ 10,800 independent locations. Even modest penetration at SMB SaaS prices clears the $1–5M ARR target (see §8).
- Why now for them: Enforcement just went from “theoretical” to “the spa down the street lost its license.” The 2026 documentation-standard shift (synchronous + NPI + SOAP) instantly turned a lot of existing charts retroactively non-compliant.
5. Product sketch (MVP)
- Connect & ingest: pull patient/treatment records from common med-spa platforms (booking/EMR exports, CSV) plus upload of scanned/photographed paper charts and intake PDFs.
- GFE chain reconstruction: for each patient × procedure, locate the matching exam, its date, the performing provider, and the note — and decide whether a compliant chain exists.
- Gap board: a ranked list of every treatment lacking a defensible GFE (no exam, async-only, no SOAP note, wrong provider type, exam after treatment, expired validity window).
- State rulepack: per-state GFE requirements (who may perform, telehealth allowed?, validity period, treatment triggers) so a gap is judged against the right rule, not a generic one.
- SOAP-note quality check: flag checkbox/waiver-only “exams” that boards now reject, and missing treatment plans (the #1 audit finding).
- Audit evidence packet: one-click export, per date range or per patient, of the documentation a board requests — formatted as the proof-of-oversight file, not a raw dump.
- “Survive an audit?” score: a clinic-level readiness number that trends over time and gives the owner something to fix.
- Remediation worklist: for fixable gaps (e.g. patient still active), route to schedule a fresh compliant GFE — including a handoff to whatever vendor or in-house director they already use.
6. AI angle — what’s load-bearing
The load-bearing AI task is reading heterogeneous, messy clinical records and adjudicating GFE-chain completeness — handwritten/photographed SOAP notes, scanned intake forms, inconsistent EMR exports — and matching each to the correct procedure, date, and provider NPI. That is the slow, expensive, expertise-heavy review a compliance consultant charges hourly for; multimodal extraction collapses it from days to minutes. Remove the AI and you’re back to a human paralegal reading every chart — which is exactly why nobody does this proactively today.
Deliberately NOT AI: the verdict on whether a chain is compliant runs on a deterministic per-state rulepack, and the audit packet is a faithful assembly of real records. A hallucinated “you’re fine” is the one output that creates the liability we sell protection against — so the rules judge, the AI only reads and extracts.
7. Localization angle (if any)
N/A — this is a US-only play, and the “localization” is per-state, not per-country. The wedge is the 50-state patchwork: who can perform a GFE, whether telehealth counts, validity windows, and treatment triggers all differ by state, and multi-location operators straddle several. A per-state rulepack is the core product, not a translation layer. No global version makes sense — GFE is a US regulatory construct.
8. Business model — path to $1M–$5M ARR
- Pricing: $99/mo (single location, scanning only) / $249/mo (audit packets + state rulepack + remediation worklist) / $499/mo (multi-location). Plus a one-time $499 “Audit-Readiness Assessment” front door — scan your historical charts once, get your gap report and readiness score. The assessment is the wedge that converts the dread into a purchase this week.
- ACV: blended ~$2,400/yr.
- Rough math to $1M ARR: ~420 clinics at ~$200/mo blended. Out of ~10,800 independent locations, that’s <4% penetration.
- Rough math to $5M ARR: ~2,000 clinics, plus expansion into adjacent compliance gaps the same scan surfaces (license-display tracking, insurance-on-file, standing-order currency, staff-credential expiry — every item the NYC sweep flagged) and a white-label tier sold through medical-director-as-a-service firms and aesthetic-compliance law practices.

9. Go-to-market wedge — first 100 customers
- Compliance lawyer & MD-as-a-service co-sell. A handful of firms (e.g. ByrdAdatto-type aesthetic-law practices, Guardian/Medical Director Co.-type MD-services) advise hundreds of clinics each and get the panicked “I’m being audited” call. ChartGuard is the tool they hand the client to actually find and fix the gaps. One firm referral relationship = dozens of warm clinic logos. Start with 5 firms.
- The free “Could you survive an audit?” assessment dropped into med-spa owner communities — the American Med Spa Association (AmSpa) audience, the large med-spa owner Facebook groups, and aesthetic-injector forums. Owners run the scan on their own data, see their gap count, and the $499 paid assessment + subscription is the obvious next step. This is the same lead-magnet motion that has worked elsewhere in this portfolio.
- Cold outreach off public med-spa directories + the NYC/state enforcement lists. Clinics in actively-enforcing states (NY, CA, TX, FL) are the hottest. Personalized: “Here’s what a board asked the 15 NYC spas to produce — could you?” with a sample gap report for their state.
- Partner adjacency, not competition, with Qualiphy/Spakinect. Their per-exam customers still have pre-existing-chart gaps; position as the records layer beneath the exam they already buy.
10. Build complexity — justification
Medium. Off-the-shelf: multimodal extraction APIs, standard web stack, file/CSV ingestion, document storage (HIPAA-grade hosting required — real but solved). Custom work: the per-state GFE rulepack (needs legal/domain input and ongoing maintenance) and reliable chart-to-treatment matching across inconsistent record formats. HIPAA handling and BAAs add diligence but no research risk. A pair with a domain advisor ships a credible v1 in ~3–4 months, starting with 3–4 highest-enforcement states rather than all 50.
