ZATCA Wave 24 lands June 30, 2026 — final integration deadline. Threshold drops to SAR 375,000 annual VATable revenue. The first time Phase 2 reaches the long tail of Saudi SMEs: contractors, traders, clinics, small restaurants, IT shops. Per Monsha’at, the Kingdom has ~1.14M micro-enterprises and ~150K small enterprises; the SAR 375K–750K band that gets hit in Wave 24 is the largest SME cohort the program has ever pulled in.
These are not businesses with IT teams. They use Phase 1 PDFs, Excel, Foodics POS, or homegrown invoicing. Phase 2 demands real-time API clearance: every B2B invoice must be canonicalized XML, ECDSA-signed with the seller’s CSID certificate, embed a TLV-encoded QR with 9 mandatory tags, chained via Previous Invoice Hash (PIH), and submitted to Fatoora for a 202 stamp before the seller can hand the invoice to the customer. Get any of that wrong and ZATCA rejects — and the seller can’t legally bill.
The Wafeq error doc and Qeemah’s “15 most common rejections” doc both list the same recurring causes: PIH chain breakage (especially after a reject), CSID certificate expiry, UTF-8 BOM corruption on Arabic text, TLV malformation, broken ICV counters in multi-device setups. ZATCA’s own developer forum has accountants saying “Retried submitting the same invoice 12 times and they are still in rejected state.” Penalties: SAR 5,000–50,000 per category of breach plus per-invoice fines and denied input VAT for the customer.

3. The opportunity
Existing ZATCA-certified providers — Wafeq, Qeemah, ClearTax, Zoho Books, Daftra — all sell full accounting suites at SAR 99–249/mo. They want the micro-SME to migrate their entire books. That migration is the friction. A restaurant on Foodics POS doesn’t want to rip and replace. A contractor doing 80 invoices/month on Excel doesn’t want a general ledger.
The gap: a thin layer that sits on top of whatever the SME uses today and does one job — clear B2B invoices through Fatoora, manage the PIH chain, renew the CSID, retry on reject. Read a CSV / connect a webhook / forward a PDF; we emit signed UBL 2.1 XML and hand back the ZATCA-cleared invoice + QR. AI fluently explains the reject in Arabic — “your previous invoice was rejected so this one must reference that hash, not the one before it” — and applies the fix.
What the incumbents do badly:
- Bundle compliance with bookkeeping. Most micro-SMEs already have an accountant on retainer. They want compliance, not Wafeq’s chart of accounts.
- Treat the cryptographic layer as opaque. When a reject comes through, the SME owner sees “BR-KSA-52 PIH mismatch” and calls support. Resolution takes days. We make it self-healing.

When Fatoora returns an XML reject (e.g. “PartyTaxScheme/CompanyID missing in cac:AccountingSupplierParty”), a tuned LLM maps that to one of ~30 known repair recipes and rewrites the invoice XML (or asks the seller a targeted question — “we couldn’t find your tenant VAT number in their last invoice, paste it here”). Hand-coded rules cover the 15 well-known codes; LLM handles the long tail and natural-language explanation to the owner.
- Arabic-English bilingual support agent. Most micro-SME owners speak Arabic, accountants often work in English. Cheap multilingual model translates rejects, support questions, monthly reports.
Strip AI out: you’re left with rule-based middleware that breaks on every novel reject pattern and ships in English only. Bookings drop ~70%. Load-bearing.
