1. One-liner

2. Trend signal — why now?

Three things just landed in the last 12 months that turned MSME delayed-payment chasing from “lawyer territory” into “software territory”:

  • MSME ODR Portal (odr.msme.gov.in) went live June 2025 and became the only legal route for filing new delayed-payment complaints from 15 October 2025. Old Samadhaan portal stopped accepting fresh filings. The new portal is structured, machine-fileable, and runs auto-conciliation before MSEFC arbitration.
  • Section 43B(h) of the Income-tax Act (in force from AY 2024-25) makes any payment to a registered micro/small supplier non-deductible for the buyer if not paid inside 15/45 days. Buyers now have a tax reason to settle — previously they had none.
  • Budget 2026 mandated all Central Public Sector Enterprises must route MSME purchases through TReDS, added a CGTMSE credit guarantee for TReDS-discounted invoices, and proposed linking GeM with TReDS. Financiers are now actively competing for verified MSME receivables; the bottleneck is supplier-side onboarding and invoice upload, not financier appetite.

Background scale: 7.83 crore enterprises registered on Udyam by Feb 2026 (up from 0.79 cr in FY22). The applicable interest on delayed payments as of April 2026 is 16.5% APR compounded monthly (3× RBI bank rate of 5.5%) — real money the supplier is leaving on the table by not filing.

3. The opportunity

The chase-the-buyer workflow at an Indian MSME is broken. Owner emails buyer’s AP team, gets ignored, calls buyer’s procurement contact, gets “next week”, waits 90 days, eventually writes off or sends a lawyer notice. The recovery rate on B2B receivables for sub-₹25 cr suppliers is ugly — chronic 70–120 day DSO.

The legal lever (MSEFC, 3× interest, tax non-deduction) has existed since 2006. The portal lever (ODR) and tax lever (43B(h)) both became real in the last 18 months. Yet nobody has bothered to wrap them into a self-serve workflow for the supplier, because:

  • Enterprise AR tools (Kapittx, Versapay, YayPay) target ₹500 cr+ firms with DSO dashboards. They don’t know what an MSEFC complaint looks like.
  • TReDS platforms (RXIL, M1xchange, Invoicemart) are infra. They wait for invoices; they don’t chase them out of the supplier’s mailbox.
  • Supply-chain finance (KredX, Mintifi) is anchor-buyer-led — it only helps if your big buyer is already on their network.
  • Lawyers exist (Aran Law, Solv Legal) but won’t take cases under ₹5 L and charge 8–15% recovery success fees.

A focused, AI-first team can collapse the entire chase-escalate-file loop into one WhatsApp-driven workspace priced at SMB wallet ($30–80/mo + success fee). Incumbents can’t easily move down — their cost-to-serve is built for enterprise.

4. Target market

  • Primary customer: Indian Udyam-registered micro & small enterprises, ₹2–25 crore turnover, B2B services or contract manufacturing, with 5+ corporate/mid-market buyers on net-30/45/60 terms. Think: IT services firms, fab/job-shops, packaging suppliers, ad agencies, logistics ops, industrial component manufacturers.
  • Why they buy: Every month the founder/owner spends 8–15 hours chasing payments they’re legally owed but won’t fight for because the legal route looks intimidating. One filed MSEFC win pays for several years of subscription. Plus the supplier now gets paid faster, which solves the daily cashflow pain that drives the business decisions.
  • Rough TAM reasoning: Of 7.83 cr Udyam registrants, conservatively 8–12 lakh are services/manufacturing micro+small firms with material B2B receivables exposure to formal corporate buyers (filter out trading-only, retail-facing, family-only). At ₹2,000/mo blended ACV, that’s a ~₹2,000 cr addressable annual SaaS spend. Need <0.25% share to clear $5M ARR.
  • Why now for them: Section 43B(h) flipped the buyer’s incentive — now buyers respond to the threat because non-payment costs them their own tax deduction. The ODR portal made filing a 20-minute job instead of a week. Both happened in the last 18 months — the supplier’s leverage went up, but they don’t know it yet.

5. Product sketch (MVP)

  • One inbox per supplier: forward every B2B sales invoice (or auto-pull from Tally / Zoho / Vyapar via existing exports). Bot parses GSTIN, PO ref, amount, due date, MSME status.

  • Tax-saver report for the buyer: an exportable PDF the supplier can send to the buyer’s CA showing exactly how much deduction they’ll forfeit under 43B(h) if they keep delaying. Often closes the payment within a week.
  • Recovery dashboard: how much was overdue, how much was recovered, how much in interest, ROI on the subscription.

6. AI angle — what’s load-bearing

Two places AI is doing real work, not decoration:

  1. Buyer-language nag drafting. Generic dunning emails get ignored. Effective nags reference the specific PO, name the buyer’s AP contact by their last reply pattern, escalate tone in a calibrated way, and (critically) localize to the buyer’s working language and AP team’s typical communication style. An LLM with the invoice context + buyer’s last 5 reply transcripts does this in 2 seconds. Without it, suppliers send the same template that already isn’t working.
  2. ODR packet assembly. The complaint requires a structured narrative (what was supplied, when accepted, what’s owed, what was discussed) stitched from forwarded emails, WhatsApp screenshots, GRN PDFs. An LLM extracts entities, builds the timeline, and pre-fills the ODR form fields. The human reviews. Without this, the supplier needs a paralegal or a CA — which is exactly why they don’t file today.

Remove the AI and you’re back to a Tally-with-reminders tool. The reason this can work in 2026 and didn’t in 2018: cheap multilingual LLM inference + the new structured ODR portal.

7. Localization angle

This is India-first by construction. Layers that don’t translate to a global play:

  • Section 43B(h) is uniquely Indian — the tax-deduction lever is the killer feature.
  • ODR portal is a Government of India platform; no analog elsewhere.
  • WhatsApp is the AP-team communication channel for 80%+ of Indian mid-market buyers.
  • Pricing must work at ₹999–₹4,999/mo + success fee — sub-$60/mo on average. A $99/mo SaaS would die here.
  • Language: nags must work in English + Hindi + at least Tamil/Telugu/Marathi/Gujarati for southern/western industrial belts. Buyer AP staff often reply in regional language.

The geographic moat is regulation-shaped: any global AR player has to rebuild the legal stack to enter. They won’t.

8. Business model — path to $1M–$5M ARR

  • Pricing:
    • Starter: ₹999/mo (~$12) — up to 50 active invoices/mo, no success fee.
    • Pro: ₹2,999/mo (~$36) — unlimited invoices, ODR auto-filing, TReDS push, multi-user.
    • Recovery success fee: 2.5% of disputed amount recovered via MSEFC route, capped at ₹50,000 per case. Optional, opt-in, only on cases that go past day 46.
  • ACV: Blended ₹35,000/yr ($420). Includes a modest success-fee tail. Heavy users (job-shops chasing 30+ invoices/mo, 2-3 ODR wins/year) cross ₹1 L ACV.

9. Go-to-market wedge — first 100 customers

Concrete plays, not “content marketing”:

  1. CA / GST-practitioner channel (top wedge). India has ~140K practising CAs and ~500K GST practitioners servicing MSMEs. Cold-DM the 2,000 most-active “CA on Twitter / X / LinkedIn India” accounts with a 90-second Loom showing one of their typical clients getting paid on a stuck ₹3L invoice. Offer 25% lifetime revenue share. Expect 3–5% to refer 5+ clients each → 100 customers in 6–8 weeks.
  2. Udyam directory + GeM vendor scrape. Public Udyam data + GeM supplier directory gives names + GSTINs of micro/small suppliers segmented by city + industry.   5. TReDS platform co-marketing. RXIL/M1xchange/Invoicemart benefit when more MSME invoices reach the platform. They already run supplier-onboarding webinars. Pitch as “the workflow tool that funnels supplier invoices into your discounting” → joint webinar series.

If the CA-channel plus the SDR motion can’t produce 100 paying customers in 4 months, the model is broken; that’s the kill check.

10. Build complexity — justification
