Three concrete things happened in Vietnam between June 2025 and May 2026 that together break the old system small business owners relied on for thirty years:

Decree 70/2025/ND-CP (effective Jun 1, 2025) — mandates e-invoices generated from cash registers, with real-time transmission to the General Department of Taxation (GDT), for any household business or individual seller with annual revenue ≥1B VND (~$40K) in retail, F&B, hospitality, transport, or personal services.   2. Decree 310/2025/ND-CP (effective Jan 16, 2026) — restructures penalty framework: 2–4M VND fines for failing to connect cash register to GDT, 5–10M VND fines for not issuing invoices when selling, fines scaled by number of violating invoices. (VATupdate)

3. The opportunity

Vietnam just shoved roughly 2.5M one-person and two-person businesses into the same monthly tax-filing world that registered companies live in — but without the kế toán, without the software, and without the muscle memory.

Incumbents are misaligned:

  • MISA meInvoice / Viettel S-Invoice / VNPT E-Invoice sell invoice-issuance to the accountant serving an SME. Price: 343K–20M VND per invoice batch. They assume someone on staff knows what a VAT credit is.
  • HKDO (Sao Khuê 2026 winner, 1M VND upfront + 1M/year) is closer — a full digital ecosystem with five modules. But it’s still a platform you have to learn. Five modules is four too many for a 58-year-old phở-shop owner.
  • Local accountants (“kế toán dịch vụ”) charge 300K–600K VND/month per household to keep the books. Decent option, but supply is constrained — the country doesn’t have enough accountants for 2.5M new monthly clients.

What’s missing: a Zalo-native voice concierge that the owner can literally talk to in Vietnamese (“Anh vừa bán 3 ly cà phê 25K, có phải xuất hóa đơn không?”), and that quietly does the monthly declaration on their behalf — pulling revenue directly from the cash register’s GDT feed. Owner approves with one tap. No platform to learn.

This is the AI-first cut of a problem that was always there but was hidden behind thuế khoán. The regulation made the problem visible, and voice + Vietnamese ASR is finally cheap enough to be the right interface.

Talking to a kế toán by Zalo every month, sending photos of receipts, missing deadlines, getting confused about VAT vs PIT vs môn bài.
  • Rough TAM reasoning: ~5M hộ kinh doanh in Vietnam (GSO data), ~2.5M above the 500M VND exemption who now must file. Even 1% reach = 25K customers. At 199K VND/mo = $250K MRR / $3M ARR. 3% reach = $9M ARR.
  • Why now for them: Jan 1, 2026 thuế khoán dies. Jan 16, 2026 new penalty regime starts. Monthly filing deadlines hitting every 20th. April 2026 — first quarterly returns due. The pain is recurring and growing, not theoretical.

  3. Declaration draft generation — turns 30 days of POS feed + voice memos + photos into a clean, submittable VAT/PIT declaration in the GDT XML format. The human only approves.

Strip the AI and you’re back to “go hire a kế toán.” That’s literally the alternative being chosen today.

7. Localization angle

This is the localization. The whole pitch is Vietnam-first:
