2. Trend signal — why now?
Four months ago — 1 January 2026 — Ontario’s amended Employment Standards Act stuck four new obligations onto every employer with 25+ employees who publicly posts a job:
- Every public posting must include a salary range with a spread of $50,000 or less (exemption only above $200K total comp).
- If any AI tool is used to “screen, assess, or select” applicants, the posting must say so. The Ministry of Labour has explicitly not yet issued guidance on what counts as AI, what counts as “screen / assess / select”, or how detailed the disclosure must be.
- Every interviewed candidate must be told within 45 days of their last interview whether a hiring decision was made — and the employer must keep records to prove it.
- Every public posting and the records associated with it must be retained for 3 years after the posting comes down.
That’s on top of three other written-policy obligations already triggered at the 25-employee threshold: an electronic monitoring policy (Bill 88, in force since 2022, refresh annually before March 1), a right-to-disconnect policy (in force since 2022 for 25+), and the new AI-screening disclosure language that has to flow into both the posting and the internal policy stack. Penalties under the ESA hit individuals at up to $100,000 plus 12 months imprisonment per offence; corporations face $500,000 first conviction and $750,000 for repeat offences. An ESA officer can walk into the workplace without a warrant and order a self-audit.
The legal community is openly saying employers are “grappling” with the AI piece because the regulation is broad and undefined. CBC, Global News, HRPA, Littler, Osler, Hicks Morley and Fasken have all run “what to do” pieces in the last 90 days. Yotru and Compliance Works are publishing checklists. Nobody is shipping the redliner that lives in front of the posting flow.

3. The opportunity
This is a regulatory-arbitrage play with a hard date stamp that already passed. The law was in force four months ago. Most Ontario mid-market employers I’ve talked to in this size band still don’t have a clean answer to “how does your salary range get on the posting?” beyond “the recruiter just types something”. The big global ATS / HRIS vendors don’t fix this — Greenhouse and Lever are US-centric and are not going to ship Ontario-specific redlining for a 30K-customer market they don’t even segment for; Workday and SAP SuccessFactors are too high-end and too slow. BambooHR and Humi sell against this market but currently treat it as content (a help-center article), not as guardrails baked into the posting flow.
The disruption isn’t “AI vs no AI”. It’s redline-as-you-type vs static template + lawyer email. The gap the incumbents do badly: they treat the posting as free-form text and the policy as a one-off PDF download. ESACheck treats both as living, version-controlled artifacts that have to pass a deterministic ruleset (range spread, AI-disclosure language, banned phrases like “Canadian experience required”, record retention, candidate notification clock) before they’re allowed to ship. AI is load-bearing because half the work is interpreting a draft posting written in everyday English, classifying which tools the company uses count as “AI” under the broad ESA definition, and rewriting the disclosure language to read naturally without being legally fragile. Without an LLM doing that interpretation step, this is a Compliance Works–style PDF checklist; with the LLM, it’s a 30-second “ship-this-yes-or-no” gate.
4. Target market
- Primary customer: Ontario-based for-profit employer, 25–250 employees, that publicly posts ≥4 jobs/year. Prime industries: tech-enabled services, digital agencies, accounting firms, professional services, manufacturers under 250, clinics and group practices, post-secondary spinouts. HR is one generalist — often combined with Office Manager / People Ops — reporting to a COO or founder. Either no ATS, or BambooHR / Humi / Rise / ApplicantStack for tracking only.
- Why they buy: “I post jobs on LinkedIn and Indeed and I have no idea if my listings are compliant. The lawyer charged us $4,200 to draft three policies last year and they’re already out of date. I do not want a Ministry officer doing a self-audit on my watch.” This isn’t theoretical pain — every major Canadian employment-law firm is currently selling “compliance audits” and “training packages” off these exact rules. The pain is felt per posting (5–30 times a year for this size), not per quarter.
- Rough TAM: StatCan Canadian Business Counts (June 2024) shows roughly 35–40K Ontario employer locations in the 20–199 employee band. Trim for purely public-sector / unionized / federally-regulated and the realistic ICP is ~28–32K. Adjacent expansion: BC drops to 50+ employees on 1 Nov 2026 (~12K BC employers), federal sector ~18K employers, Quebec under Law 25 ~40K employer pool but a different product cut. Realistic 24-month addressable pool: 60K+ Canadian employers.
- Why now for them: Three forcing functions stacked on top of each other. (1) Job postings have to comply today — every Indeed/LinkedIn posting that goes live in Q2 2026 is already exposed. (2) ESA officers can compel a self-audit at any time, and they will not wait for guidance documents. (3) BC’s 50+ employer threshold lands 1 Nov 2026 — multi-province employers want one tool, not five.
5. Product sketch (MVP)
- Posting redliner (Chrome extension + web). Paste or auto-grab a draft job posting from LinkedIn Recruiter / Indeed Employer Dashboard / Workable / Greenhouse / Lever / BambooHR ATS. Inline redline shows: missing salary range, range spread > $50K, missing AI disclosure, banned phrases (“Canadian experience required”), missing vacancy-status statement. One-click rewrite to compliant version.
- AI-tool inventory. A 5-minute onboarding wizard asks “do you use Indeed Smart Sourcing? LinkedIn Recruiter AI Match? a resume parser? a screening assessment?” — produces the correct AI-disclosure clause for the posting and the matching internal AI-screening policy.
- Policy library, not a template store. Four ESA-required policies (electronic monitoring, right-to-disconnect, AI-screening, pay-transparency) are living documents tied to your company profile (employee count, sector, AI tools). When the law changes, the document gets a versioned redline and a re-acknowledgment request goes to the policy owner.
- 45-day candidate clock. Every interview logged in the tool starts a 45-day timer. Clock visible per candidate. One-click “decision-made” notification email and immutable record.
- 3-year audit vault. Every public posting (full HTML + screenshot + timestamp), every policy version, every candidate-decision notification, every employee-count attestation — stored in a single export-on-demand bundle the ESA officer can pull.
- Multi-province profile (Q4 2026). Same vault for BC pay-transparency reports and federal right-to-disconnect once those land.
- Slack / Teams alerts. “Three of your six open postings on LinkedIn are missing the AI disclosure clause” — sent to whoever owns hiring.
6. AI angle — what’s load-bearing
Two places where the LLM is doing actual work:
- Interpreting the posting. The redliner has to read free-form recruiter prose, identify whether a salary range is even present (and in what spread), decide whether the wording requires “Canadian experience” by implication, and rewrite the AI-disclosure sentence to flow naturally. This is exactly the kind of thing a deterministic regex fails at and a small frontier model nails.
- Classifying AI tools. When a customer types “we use SeekOut for sourcing and HireVue for video interviews”, the LLM has to map that to ESA’s broad AI definition (“a machine-based system that infers from input to generate predictions, content, recommendations or decisions”) and produce the disclosure language. Then re-classify automatically when the customer adds Workday Recruiting AI or Indeed Smart Sourcing.
Take the LLM out and this is a checklist + spreadsheet. With it in, the customer pastes the posting and gets a yes/no in 30 seconds — which is what an HR-of-one with eleven other things on their plate will actually use.
7. Localization angle
Canada-first, Ontario-most. The product has no reason to exist outside common-law Canadian employment regimes. Localisation wins:
- Ontario ESA-native. Built around the actual definitions, thresholds, and forms (s.8.4 record retention, ESA officer audit, etc.).
- BC Pay Transparency Act ready (50+ employers, 1 Nov 2026).
- Federal right-to-disconnect support when finalized.
- Quebec Law 25 is a separate product cut (privacy-led, French-language, private right of action) — explicitly out of scope for v1, would be v3.
- Pricing in CAD. $129 / $249 / $499 CAD/mo bands fit Canadian SMB software wallets where USD-equivalent BambooHR pricing already feels expensive.
8. Business model — path to $1M–$5M ARR

- Math to $1M ARR: ~330 customers at $250/mo. Realistic in 14–18 months given a TAM of ~30K Ontario mid-market employers and 1% penetration as the base case.
- Math to $5M ARR: ~1,650 customers at $250/mo, or ~1,000 customers at a blended $400/mo as Scale tier kicks in via BC + federal expansion. Requires 3% penetration of the wider Canadian 60K mid-market employer pool — within reach by month 24 if BC expansion lands.

- Bullseye 3: Fractional HR consultancies (Pivot HR, POMBusiness, TSERGAS, ConnectsUs HR, Peace of Mind). They charge $2K–$10K/mo retainers and have to manually audit client postings. White-label or partner deal: $79/mo per client seat, they bake it into their service. ~50 fractional HR firms in Ontario controlling ~10–15 mid-market clients each = a backdoor to 500+ ICPs.
- Bullseye 4: Employment lawyer co-marketing. SpringLaw, Achkar Law, Sultan Lawyers, Hicks Morley already publish “Ontario job posting checklist” content. Co-author one piece each per month, they get authority and lead-gen, we get the long-tail SEO + their email list.
- Bullseye 5: LinkedIn outbound to “Director of HR / People Ops” at Ontario companies with 25–250 headcount and ≥3 active postings. 10. Build complexity — justification
Low. Standard Next.js + Postgres + a small frontier LLM (Claude Haiku / GPT-4o-mini class) for redlining and policy classification. Chrome extension that reads the active page in LinkedIn Recruiter / Indeed / Workable. Email/calendar integrations for the 45-day clock are off-the-shelf (Gmail / Outlook / Postmark). The hardest piece is the policy ruleset — a domain-expert employment-law advisor encoding 30–40 deterministic checks against the ESA — but that’s a 4-week paid engagement with a Canadian employment lawyer, not custom software. Solo builder ships v1 in 6–8 weeks; small team ships full multi-province v1.5 in 3–4 months.

13. Qualitative modifiers
Founder-fit tags
technical-heavy (Chrome extension + LLM-rule pipeline + record vault) and domain-expertise-required (paid Canadian employment lawyer advisor on call from week one). Sales-heavy is not needed in v1 — the redline-as-cold-opener carries the early demand. Content-heavy is a nice multiplier (lawyer co-marketing) but not essential.
