2. Trend signal — why now?

Three things changed inside the last 12 months that turned MSME delayed-payment chasing from a lawyer’s job into a SaaS workflow:

  1. MSME ODR Portal went live 27 June 2025; mandatory 15 October 2025. Samadhaan portal stopped accepting new filings. All new delayed-payment disputes by micro/small enterprises must now be filed on the new fully-digital portal (odr.msme.gov.in). Filing fee is zero. Portal auto-calculates principal + 3× RBI bank rate compound interest. Pre-MSEFC mediation is a new two-stage gate before the council stage. The plumbing is digital — but the evidence packet, statement-of-claim narrative, and “should I file or settle?” judgement is still a manual mess for a small supplier.

  2. Section 43B(h) is now in its second audit cycle (AY 2025-26 first full year). Buyers who pay MSEs beyond 15/45 days lose the tax deduction in that FY — the expense is added back to taxable income. The MSME delayed-payment ecosystem looks like this today:

  • Recovery law firms (dCorpo, Aran Law, Ancoraa, MSMEodr.com) — services, not SaaS. 10–15% of recovery + retainer. Only worth it for ₹10L+ claims. Slow to engage. Almost zero presence in Tier-2/Tier-3.
  • Generic AR automation (Chaser, YayPay, Quadient) — built for Xero/QuickBooks/NetSuite. Don’t know about Section 43B(h), Udyam, ODR, MSEFC, MSMED Act, or Indian interest calc. No India distribution.
  • GST/accounting stacks (Tally, Zoho Books, ClearTax) — show invoice aging, that’s it. No legal workflow, no buyer leverage drafting, no ODR filing.
  • Free spreadsheet trackers (thegstcalculator.in’s 43B(h) tracker) — single-page tools, no email/legal flow.

The wedge: nobody owns the claim-prep workflow for the small supplier. Specifically:

  • Primary customer: Owner-operator of a registered MSE (Udyam micro or small) in service or manufacturing — IT services, contract manufacturing, fabrication, print/packaging, marketing/design agencies, freight/logistics, food suppliers, B2B chemicals/consumables.   • Why they buy: Two or three big buyers paying 60-180 days late on every cycle. ₹10-50L of receivables stuck at any time. Owner is funding the gap with personal credit cards or 18-24% NBFC working capital loans. Doesn’t want to “burn the relationship” by filing on ODR. Doesn’t know about Section 43B(h). When told the buyer’s CA will disallow the expense if unpaid by March, they want it explained to the buyer YESTERDAY.
